• For the first transaction, seventy (70) percent shall be paid at the time of placing order (via TT) and the remaining thirty (30) percent shall be paid within 10 days after the products are delivered and confirmed at the destination countries.

• From the second order, the payment term shall be via LC based on mutual credit and fifty (50) percent shall be paid at the time of placing order and the remaining fifty (50) percent within 10 days after the products are delivered and confirmed at the destination countries.  The terms and conditions of LC shall be discussed further and applied from the second order.

 

• Regarding “B”s assertion that the packaging of samples delivered were broken, damaged and thus affected all other products in the same box, “A” shall analyze the current basic packaging precisely to modify and complement the problems raised.  Once the analysis is completed, “A” shall deliver a sample of the new package in real to “B” and “B” shall notify “A” on the testing results of new packaging of the product.   Furthermore, for “A” to confirm the packing conditions precisely, “B” shall provide “A” with final packaging requirements which will include packing specifications, types and weights of carton boxes and printing specifications. 

 

 

• When products delivered by “A” get damaged and additional damages to other products of “B” occur due to the damages and for any defect products delivered, “A” shall replace the  damaged and defected products with the new products within 48 hours after “B” reports to “A” via air shipment, and all air freight and all other expenses incur for all necessaryreplacements shall be borne by “A”.  “A” shall maintain the defect rate of products below0.01% at all times.

•  “A” shall buy Product Liability (PL) insurance for the products when signing the agreement  (the compensation amount per incident shall be no less than 150,000,000 Korean Won) And handed over the related copies of the PL insurance documents to “B” within 30 daysafter signing the agreement.  The Product Liability insurance shall cover to take fullresponsibilities of all and any mental and physical damages caused by product defects by the manufacturer and all and any accidents in this regard.  In case of consumer negligence
